End User Agreement for Christmas.Chat
- Acceptance of Terms
Welcome to Christmas.Chat! By accessing or using the Christmas.Chat website and/or the Christmas.Chat chatbot (the “Service”), you agree to be bound by this End User Agreement (“Agreement”). If you do not agree to these terms, please refrain from using the Service.
- Description of Service
Christmas.Chat and Presents.Chat are trading names of dotChat Ltd. The Service, provided by dotChat Ltd, a company registered in England and Wales with company number 15274736, offers a platform powered by AI Technology to deliver interactive and engaging user experiences. The Service is provided “as-is,” and dotChat Ltd and CONTEXTUAL may update, alter, or enhance the Service at any given time without prior notice.
- Use Restrictions
While using the Service, you shall not:
– Sub-license, resell, rent, lease, transfer, or commercially exploit the Service in any form.
– Engage in any unlawful activities using the Service.
– Modify, adapt, or hack the Service, or attempt any unauthorized access.
– Remove any proprietary notices or labels from within the Service.
– Use the Service’s data or features to create products that compete with it.
– Reverse engineer or attempt to derive the source code of the Service.
- Data Rights
– Ownership: You retain all rights to the data and content you input into the Service. Data generated by the Service belongs to dotChat Ltd.
– You represent that you have all rights to the data you input and that its use by dotChat Ltd and CONTEXTUAL doesn’t violate any third-party rights.
– License Grant: By using the Service, you grant dotChat Ltd and CONTEXTUAL a non-exclusive, global, royalty-free license to utilize your data to improve the Service, develop other products, and create anonymous data sets.
– Privacy Assurance: dotChat Ltd respects and values user privacy. All personal data shared is handled as per our Privacy Policy which you can find here.
- AI Technology Limitations and Disclaimers, Liability
AI Technology, which powers the Service, has inherent limitations:
– Outputs may be erroneous, repetitive, or may misinterpret context or nuances.
– AI cannot replicate human emotions or creativity, leading to potential biases or insensitivities.
– Outputs are strictly informational. Relying on them in place of professional advice is not recommended.
– The Service is provided “as-is” without any warranties, including suitability for a particular purpose.
– dotChat Ltd disclaims any liability from the Service’s use. The Service is provided without any warranty, including but not limited to, implied warranties of merchantability, fitness for a specific purpose, and non-infringement.
– To the maximum extent permitted by applicable law, in no event shall dotChat Ltd or CONTEXTUAL be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
- Termination
CONTEXTUAL and dotChat Ltd reserve the right to restrict or terminate your access if:
– You violate the terms of this Agreement.
– Such action is deemed necessary to safeguard the rights and properties of CONTEXTUAL and dotChat.
- Indemnification
You agree to defend, indemnify, and hold harmless dotChat Ltd, CONTEXTUAL, and their affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses arising out of or accruing from your use of the Service or violation of this Agreement.
- Governing Law
his Agreement is governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.
- Agreement Revisions
dotChat Ltd can revise this Agreement at any time. It is advisable to periodically review this Agreement for updates.
- Third-Party Beneficiary
CONTEXTUAL is an intended third-party beneficiary of this Agreement, empowered to enforce its terms directly against end users.
- Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
- Entire Agreement
This Agreement constitutes the entire agreement between you and dotChat Ltd and supersedes any prior agreements, communications, representations, or understandings between you and dotChat Ltd.
